Welcome to www.kajapayments.com (the "Site"), operated by KAJA Payments ("KAJA," "we," "us," or "our"). These Terms & Conditions (the "Terms") set out the rules for using the Site, including the contact and inquiry forms and the event- and partner-specific landing pages we host. Please read them carefully.

1. Acceptance of These Terms

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Site. If you are using the Site on behalf of a business or other entity, you represent that you have authority to bind that entity, and "you" refers to both you and that entity.

2. Our Services

KAJA Payments is a merchant services provider offering credit and debit card processing, cash discount and surcharge programs, high-risk merchant accounts, ACH processing, and related payment solutions to businesses. The Site describes those services and lets you request information, a quote, or a conversation with our team.

The Site itself does not accept payments, open accounts, or provide processing services. Any description of pricing, funding timelines, approval rates, or program features on the Site is for general information only, may change without notice, and does not constitute an offer. Merchant accounts are subject to application, underwriting, and approval by KAJA and its sponsoring banks and processing partners, and all processing services are provided solely under the applicable merchant processing agreement.

3. Eligibility

The Site is intended for business use by persons who are at least 18 years old and located in the United States. By using the Site or submitting a form, you represent that you meet these requirements. We do not knowingly collect information from, or direct the Site to, children under 13.

4. Accuracy of Information

When you submit information through the Site, you agree to provide accurate, current, and complete details, and to update them if they change. You agree not to impersonate any person or business, misrepresent your affiliation with any person or business, or submit information on behalf of anyone who has not authorized you to do so.

We work to keep the content of the Site accurate and up to date, but we do not guarantee that it is free of errors or omissions. Card network rules, regulatory requirements, and our programs change over time, and the Site may not always reflect the most recent changes.

5. Intellectual Property

The Site and everything on it — including text, graphics, logos, icons, page layouts, and the KAJA Payments name and marks — are owned by KAJA or our licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may view, download, and print pages from the Site for your own business evaluation of our services. You may not otherwise copy, reproduce, republish, distribute, modify, create derivative works from, publicly display, or commercially exploit any part of the Site without our prior written permission. Nothing on the Site grants you any license or right to use any KAJA trademark or logo.

6. Prohibited Use

You agree not to use the Site in any way that is unlawful, harmful, or interferes with its operation. In particular, you agree not to:

• Submit false, misleading, fraudulent, or spam inquiries, or use the contact forms for any purpose other than contacting us about our services;
• Use automated means — bots, scrapers, crawlers, or scripts — to access the Site, submit forms, or collect content, other than standard search engine indexing;
• Attempt to probe, scan, or test the vulnerability of the Site or any related system, or to breach any security or authentication measure;
• Introduce viruses, malware, or any other harmful code, or overload, flood, or otherwise disrupt the Site or the servers that host it;
• Reverse engineer, decompile, or otherwise attempt to extract the source code of any part of the Site;

We may suspend or block access to the Site, and decline to respond to inquiries, if we reasonably believe these Terms have been violated.

The Site may contain links to websites, resources, or partners that we do not own or control, including event organizers and industry associations whose landing pages we host. These links are provided for convenience only. We are not responsible for the content, privacy practices, or availability of any third-party site, and a link does not imply endorsement. Your use of any third-party site is governed by that site's own terms and policies.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. Nothing on the Site is legal, tax, accounting, or financial advice. Whether a cash discount, surcharge, or other program is appropriate for your business depends on your circumstances and on the laws and card network rules that apply to you; please consult your own advisors.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KAJA AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, SPONSORING BANKS, AND PROCESSING PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL KAJA'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. This section does not limit any liability under your merchant processing agreement, which is governed by that agreement's own terms.

10. Indemnification

You agree to defend, indemnify, and hold harmless KAJA and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, any information you submit through it, or your violation of these Terms or of any applicable law or third-party right.

11. Governing Law and Disputes

These Terms, and any dispute arising out of or relating to the Site, are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in New York County, New York have exclusive jurisdiction over any such dispute, and you consent to personal jurisdiction in those courts. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.

12. Changes to These Terms

We may update these Terms from time to time. The version posted on this page is the one in effect, and we will revise the last-updated date at the foot of this page when it changes. Your continued use of the Site after an update means you accept the revised Terms. These Terms, together with our Privacy Policy, are the entire agreement between you and KAJA regarding your use of the Site.
